User Agreement
Article 1 — Parties and Acceptance
1.1 This User Agreement ("Agreement") is entered into between POSSIAN YAZILIM ANONİM ŞİRKETİ, a company organised under the laws of the Republic of Türkiye, operator of www.menuongo.com (the "Site") and the MenuOnGo application (the "Application"), and the person or entity that registers an account ("You", "Your", "User").
1.2 You accept this Agreement by ticking the "I accept" box during registration. An account cannot be created without doing so. We record the version, language and time of Your acceptance. If You do not accept this Agreement in full, do not create an account.
1.3 For businesses only. The Application is provided exclusively to restaurants and other food-service businesses for the purposes of their trade, business or profession; it is not offered to consumers. You may use it as a company or other legal entity, or as a natural person running a business (for example, a sole proprietor). When You register and when You buy a paid Plan, You confirm that You are acting for business purposes and give Your business name, together with Your tax identification or VAT number where You have one. If You are entering into this Agreement on behalf of a company or other legal entity, You represent that You have authority to bind that entity, and "You" refers to that entity. You are responsible for the accuracy of the business information You give; if it is false, we may suspend or terminate Your account. Every purchase nevertheless carries the fourteen-day right of withdrawal in Article 5.8.
1.4 You must be at least 18 years old and have full legal capacity to enter into this Agreement.
1.5 Scope — who this Agreement applies to, and how far.
(a) Account holders. If You create an account, the entire Agreement applies to You from the moment You accept it under Article 1.2.
(b) Visitors. If You browse the Site without creating an account, only Articles 1.5, 13, 14.9, 14.10, 19, 20, 22, 23, 24 and 25 apply to You, by virtue of Your use of the Site. You are bound by no other obligation in this Agreement, and nothing in it grants You any right to use the Application. As a visitor You may not interfere with, attack or test the security of the Site, or extract Published Menus or any customer data by automated means for resale or to build a competing service. Indexing of the Site's public pages by search engines and by AI systems is permitted and welcome.
(c) Guests viewing a Published Menu. A guest viewing a Published Menu is a visitor under paragraph (b). The content of every Published Menu — including prices, ingredients, allergens, dietary labels and nutrition information — is supplied by the business that publishes it, which is solely responsible for it (Article 10). MenuOnGo gives no warranty to any guest regarding that content. Questions about a dish, an allergen or a price should be put to the business.
(d) Advertisements on a Published Menu. A Published Menu on the Free plan may display an Advertisement. Advertisements are placed by MenuOnGo and its Ad Providers, not by the business whose menu You are viewing, and do not indicate that business's endorsement. Articles 14.9 and 14.10 explain how Advertisements are chosen, what they mean for You, and the privacy choices available to You.
Article 2 — Definitions
"Application" — the MenuOnGo cloud-based digital menu display software, including the Site, the customer dashboard, published menu pages and any related tools.
"Content" — any data, text, dish names, descriptions, prices, allergen and nutrition information, images, video, audio, logos, links or other material that You or Your Authorized Users upload to, create in, or publish through the Application.
"Published Menu" — a menu page made publicly accessible through the Application, including at menuongo.com/menu/[your-business].
"Plan" — the Free, Pro or Full Service subscription tier described on the Site.
"Reseller" — the third-party payment provider we appoint from time to time to act as our Merchant of Record and authorised reseller for the sale of Plans (Article 7). The identity of the Reseller is disclosed at checkout.
"Authorized User" — a person You permit to access Your account.
"Ad Provider" — a third-party advertising service we use to supply Advertisements, such as Google.
"Advertisement" — any advertising or promotional message displayed in the Ad Space, whether for a third-party advertiser (an "Advertiser") or for MenuOnGo's own products and offers.
"Ad Space" — any area, position or format on a Free plan Published Menu, as determined by us from time to time, in which Advertisements are displayed under Article 14.
Article 3 — What the Application Is, and What It Is Not
3.1 MenuOnGo is a digital menu display platform. It publishes menu information You supply to a web page that Your guests can view on a phone, tablet or screen, and generates print-ready files from that same information. On the Free plan, the Application is funded in part by advertising, and Published Menus display an Advertisement in the Ad Space (Article 14).
3.2 The Application does not provide, and MenuOnGo does not operate:
- order taking of any kind;
- payment processing, card acceptance, or handling of Your guests' funds;
- point-of-sale, inventory, accounting, invoicing, payroll or tax functionality;
- delivery, logistics or courier services;
- reservation or table management.
3.3 Where the Application displays a link to a third-party ordering, delivery or reservation service, that link is provided at Your instruction. MenuOnGo is not a party to, and accepts no responsibility for, any transaction between You and Your guest or between You and that third party.
3.4 MenuOnGo is not a print shop. Print-ready files are digital files only. Printing, print quality, materials, colour reproduction and delivery are entirely Your responsibility and that of Your chosen printer.
Article 4 — Account, Access and Authorized Users
4.1 You must provide complete, accurate and current registration information and keep it up to date. We are not responsible for any inability to access or benefit from the Application caused by incomplete, inaccurate or outdated information.
4.2 You may hold one account. Creating a second account after suspension or termination, whether using the same or different information, is prohibited. We may refuse to open an account at our sole discretion and without giving a reason.
4.3 You are responsible for keeping Your credentials confidential. Any activity carried out through Your credentials is deemed to have been carried out by You, and all legal and financial responsibility for that activity is Yours. Notify us immediately of any unauthorised use.
4.4 You may grant access to Authorized Users and determine their permission level. You are fully responsible for everything Your Authorized Users do. Any dispute between You and an Authorized User is Yours to resolve; we will act on the instructions of the account owner.
4.5 You may not transfer, resell, sublicense or assign Your account or any rights under this Agreement. We may assign this Agreement freely, including in connection with a merger, acquisition or sale of assets.
Article 5 — Plans, Free Month and Payment
5.1 Free month. New accounts receive full access to the Pro feature set for thirty (30) days at no charge. No credit card or payment method is collected at sign-up. There is no trial that converts into a charge. The free month is not part of any paid term: every paid term starts on the date of payment (Article 5.5). If You purchase Pro during the free month, the free days You have left are not lost: they are added to the end of Your paid term (Article 5.5(a)). Full Service has no free month, and no free days are added to a Full Service term.
5.2 Automatic renewal — on unless You switch it off. Where automatic renewal is available, paid Plans renew automatically unless You untick the box at checkout or switch automatic renewal off in the dashboard.
(a) At checkout, the automatic renewal box is ticked by default; You can untick it before You pay. You can also switch automatic renewal on or off at any time in the dashboard. Your payment method is saved by the Reseller (in Türkiye, by the payment institution); we never see it.
(b) If automatic renewal is on, Your saved payment method is charged on the last day of Your current term, at the price then in force for Your Plan, and a new term of the same length begins (Article 5.5(b)). We email You at least thirty (30) days and again seven (7) days before each automatic renewal, stating the date, the amount and how to switch it off. A price change applies to an automatic renewal only if it was stated in the thirty-day notice.
(c) You can switch automatic renewal off at any time in the dashboard, in one step. Your Plan then simply ends at the end of the current term.
(d) Renewal refund window. If an automatic renewal was not what You wanted, You may ask us to refund it within fourteen (14) days of the charge by writing to info@menuongo.com. The refund is made in full, the renewed term is cancelled and Your account moves to the Free plan.
(e) If You untick the box or switch automatic renewal off, Your Plan does not renew by itself at the end of a paid term, and a new paid Plan begins only when You personally complete a purchase. We may send You reminders that Your term is ending; a reminder is a courtesy, not a charge, and ignoring it has no financial consequence.
5.3 Downgrade to the Free plan. If You do not purchase a paid Plan at the end of the free month, or Your paid term ends without a renewal (because automatic renewal is off, You switched it off, or the renewal charge fails), Your account is automatically moved to the Free plan. Your Published Menu remains live and Your QR codes continue to work, subject to the Free plan's feature and volume limits, and Your Published Menu displays Advertisements as set out in Article 14. You accept this downgrade in advance as part of this Agreement, and no notice beyond the reminders described in 5.2 is required.
5.4 Prices. Plan prices are those published on the Site at the time of purchase. Prices are stated exclusive of sales tax, VAT, GST or equivalent, which are added at checkout where applicable. We may change prices at any time. A price change never affects a term You have already paid for; it applies to any purchase You make afterwards.
5.5 Prepaid terms and when they start. Paid Plans are prepaid for the full term (annual, or multi-year where offered).
(a) Every paid term starts on the date of payment — for Pro and Full Service alike, and whether You purchase during the free month, at its end, or later from the Free plan. The term runs for twelve (12) months (or the number of years purchased) from that date. The free month is never counted toward a paid term. If You purchase Pro during the free month, the unused free days are not lost: they are added to the end of the term. For example, an annual Pro purchase made on day 10 of the free month starts on the date of payment and runs for twelve months plus the remaining twenty days. The added days are free of charge. A Full Service term always starts on the date of payment, and no remaining free days are added, because Full Service begins with a complete setup by our team, photos and campaigns included.
(b) Renewals. A renewal purchased before the current term ends begins when the current term ends, so no days are lost. A renewal purchased after the term has ended begins on the date of payment.
(c) Upgrade from Pro to Full Service. If You upgrade to Full Service during a Pro term, the value of the Pro licence days You paid for and have not yet used is deducted from the Full Service price. The value is calculated pro rata by unused paid days, on the Pro amount You actually paid excluding taxes. Free days added under Article 5.5(a) have no value for this purpose. Your Full Service term starts on the date You pay the balance. This deduction applies only to the upgrade: it is not a refund, has no cash value and cannot be paid out.
(d) Multi-year terms, including promotional offers such as "pay two years, use three", follow the same rules for the number of years purchased.
Access is granted for the term purchased. The dashboard always shows the exact end date of Your current term.
5.6 NO REFUNDS. All payments are final and non-refundable. No refund, credit, or pro-rata repayment will be made under any circumstance (other than the fourteen-day right of withdrawal in Article 5.8, the renewal refund window in Article 5.2(d) and the upgrade deduction in Article 5.5(c), which is not a refund), including but not limited to: You stop using the Application; You are dissatisfied; You close, sell or relocate Your business; You change Your mind; Your account is suspended or terminated for breach; or You terminate this Agreement. This policy is offered in exchange for a thirty-day free month during which no payment method is collected and You can evaluate the complete product at no cost and no risk. If You are not satisfied during the free month, do not purchase.
5.7 Chargebacks. Initiating a chargeback or payment dispute instead of contacting us is a material breach of this Agreement. We may suspend or terminate Your account immediately upon notice of a chargeback and may recover from You the disputed amount together with any fees charged to us.
5.8 Fourteen-day right of withdrawal. You may withdraw from any purchase of a paid Plan within fourteen (14) days of the date of payment, without giving any reason. We grant this right voluntarily to every buyer, even though the Application is offered only to businesses.
(a) To withdraw, tell us within the fourteen days by email to info@menuongo.com, through the dashboard, or by any other written means.
(b) We refund the full amount You paid, with no deduction, within fourteen (14) days of receiving Your notice, using the same payment method You used. Your paid Plan then ends and Your account moves to the Free plan; Your Content is kept. For Full Service, paragraph (d) applies.
(c) This right applies to each purchase, including renewals and multi-year purchases.
(d) Full Service setup fee. A large part of Full Service — setting up Your menus, photographs and campaigns — is delivered at the very start of the term. Forty per cent (40%) of the amount You paid for Full Service, up to forty per cent of one year's Full Service price published on the Site at the time of purchase, is therefore a setup fee. It is earned on payment, because our team begins the setup immediately, and it is not refunded on withdrawal. You accept this in advance when You buy Full Service. The rest of the amount is refunded under paragraph (b). The setup fee applies only to the purchase with which the setup is carried out (Your first Full Service purchase or an upgrade from Pro), not to renewals. If You withdraw from an upgrade, Your Pro term is restored instead of Your account moving to the Free plan.
5.9 Taxes. You are responsible for any taxes arising from Your own business activity. Sales tax, VAT and GST on Your purchase of a Plan are handled by the Reseller (Article 7).
Article 6 — Fair Use Policy
This Article is a binding part of this Agreement, not a guideline.
6.1 Full Service — managed update allowance
6.1.1 The Full Service Plan includes up to four (4) Major Menu Update Requests per calendar month. The allowance does not accumulate; unused requests expire at the end of each calendar month and are not refundable or transferable.
6.1.2 A "Major Menu Update Request" means a single submitted batch of changes that we carry out on Your behalf, and includes any one of the following:
- changing prices on ten (10) or more items;
- adding, removing or restructuring ten (10) or more items;
- adding or replacing ten (10) or more images or videos;
- creating or rebuilding a campaign;
- creating a new menu or a new daypart;
- changing the category structure or rebuilding the menu from scratch;
- a theme, layout or branding change.
6.1.3 The following are not counted against the allowance: correcting an error we made; a single item going in or out of stock; a price change on fewer than ten items; and a question that does not require us to edit Your menu.
6.1.4 Turnaround. We aim to complete a standard request within six (6) support hours at most — typically within one to two hours — and a Major Menu Update Request within twenty-four (24) hours at most. Times run only during our support hours (Article 17.7); they start when we have received everything we need to carry out the request, and they pause while we wait for further information from You. These times are targets, not guarantees (Article 17.8).
6.1.5 Where a request is not counted but must still be resolved, we will take a reasonable time to do so. Nothing in this Article obliges us to act outside our published support hours.
6.1.6 Exceeding the allowance. Once the monthly allowance is used, we may, at our sole discretion, decline further Major Menu Update Requests until the next calendar month or agree to a higher allowance in writing. We do not sell additional requests or paid support.
6.1.7 Abuse. Splitting one large change into multiple small requests in order to avoid the allowance, submitting requests continuously, or using Full Service as a substitute for employing staff, is abuse of this policy. We may, at our sole discretion and without refund, reduce the allowance for Your account, move You to the Pro Plan, or terminate this Agreement.
6.1.8 What Full Service includes. Full setup of Your menus with photographs; changes to prices, items, descriptions and photographs; campaigns built from MenuOnGo templates using the photographs, text and offers You send us; and priority (VIP) handling of Your requests.
6.1.9 What Full Service does not include. Original video, animation or graphic design, photo or film shoots, and any other creative work produced from scratch. We place what You send; we do not produce original creative content.
6.1.10 How to send a request. Through the chat on the Site or in the dashboard — the AI assistant summarises the request, You confirm the summary and a ticket is opened — or by email to info@menuongo.com.
6.1.11 Revisions. Each request includes one round of corrections, made on the same ticket; it does not count as a new request.
6.1.12 Immediate changes. Changes that must take effect at once, such as an item going out of stock, are made by You in the dashboard; they are not covered by the turnaround targets.
6.1.13 Content You send. You confirm that You hold the rights to every photograph, text, logo and offer You send us, and You remain responsible for it under Articles 8 and 12.
6.1.14 Earlier purchases. If You bought Full Service before this version of the Agreement on the basis of a wider scope (for example, live support or the production of videos or campaigns), that scope is honoured until the end of Your current term.
6.2 Platform fair use — all Plans
6.2.1 Plan limits published on the Site (number of menus, number of items, languages, features) are binding and may be enforced technically.
6.2.2 Regardless of Plan, You may not: use storage, bandwidth, processing or AI capacity in a manner materially disproportionate to normal use by a single business of Your type; use the Application as a general file host, image host, CDN or backup service; run automated scripts, scrapers or bulk requests against the Application; resell, white-label or sublicense access; or operate menus on behalf of businesses You do not own or manage without our written consent.
6.2.3 AI-assisted processing capacity (menu scanning, automatic translation, and similar features) is provided subject to reasonable-use limits which we may set, publish and change. Excessive or automated use may be throttled, suspended or charged for.
6.2.4 We determine what constitutes fair use at our sole discretion. Where practicable we will contact You first; where the behaviour threatens service stability, security or other users, we may act immediately and without notice.
Article 7 — Merchant of Record
7.1 Purchases of paid Plans are processed by a third-party payment provider acting as our Merchant of Record and authorised reseller (the "Reseller"). The Reseller is identified to You at checkout. For payment purposes Your purchase contract is with the Reseller, and the Reseller's own terms and privacy policy apply to that transaction in addition to this Agreement.
7.2 The Reseller is responsible for collecting and remitting sales tax, VAT, GST and equivalent taxes on Your purchase, and for issuing the payment invoice.
7.3 MenuOnGo never receives, processes or stores Your card number or bank details. Payment credentials are handled entirely by the Reseller.
7.4 We may change the Reseller at any time without notice and without affecting this Agreement.
7.5 Where the Reseller exercises any discretion it holds under its own terms, that does not create any refund right against MenuOnGo, and Article 5.6 continues to apply between You and us.
Article 8 — Your Content: Ownership, Licence and Your Responsibility
8.1 You own Your Content. We claim no ownership of it.
8.2 Licence to us. You grant MenuOnGo a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, modify for technical purposes (including resizing, transcoding, format conversion and translation), publish, display and distribute Your Content for the sole purpose of operating and providing the Application to You, including generating Your Published Menu, print-ready files and translations. This licence ends when the Content is deleted from our live systems, except for copies retained in backups for their ordinary retention period and copies we are required to retain by law. On the Free plan, this licence also covers making Your Published Menu available to Ad Providers as set out in Article 14.11.
8.3 YOU ARE SOLELY AND EXCLUSIVELY RESPONSIBLE FOR ALL CONTENT YOU UPLOAD, INCLUDING EVERY IMAGE, PHOTOGRAPH, VIDEO, ANIMATION, LOGO, FONT, ICON, MUSIC, TEXT AND LINK. You represent and warrant, for every item of Content, that You either own it outright or hold all rights, licences, consents and permissions necessary to upload it, publish it through the Application, and permit us to process it under Article 8.2 — including, where relevant, the consent of any identifiable person appearing in it.
8.4 MENUONGO ACCEPTS NO RESPONSIBILITY WHATSOEVER FOR YOUR CONTENT. We do not pre-screen Content. We do not verify ownership, licensing, copyright status, trademark status, accuracy, legality or appropriateness of Content. We are not the author, publisher or editor of Your Content. Any claim arising from Content — including copyright infringement, trademark infringement, right-of-publicity or privacy claims, defamation, or claims concerning obscene, offensive or unlawful material — is Your sole responsibility and Your sole cost, and You will indemnify us in full under Article 21.
8.5 Images and video in particular. Photographs of food, stock imagery, brand logos, character artwork and music are frequently subject to third-party copyright. Copyright enforcement against restaurants is active and organised in several markets. Do not upload an image or video unless You are certain You have the right to use it. Any demand letter, settlement, licence fee, statutory damages award or legal cost arising from Content You uploaded is Yours alone.
8.6 You must keep Your own copies of all Content. We follow reasonable practices to prevent data loss but do not guarantee that Content will not be lost, and we are not liable for any loss of Content however caused.
Article 9 — Prohibited Content and Acceptable Use
9.1 You may not upload, publish or transmit through the Application any Content that:
- infringes any intellectual property, privacy, publicity or other right of any person;
- is unlawful, defamatory, obscene, pornographic, sexually explicit, violent, or promotes hatred, discrimination or violence against any group or person;
- depicts or involves minors inappropriately in any way;
- contains malware, scripts, tracking beacons or other harmful code;
- is used for phishing, fraud, impersonation of another business, or any deceptive practice;
- promotes gambling, weapons, controlled substances, counterfeit goods or any product whose sale is restricted in the jurisdiction where the menu is displayed;
- consists of material unrelated to a food or beverage menu, including advertising for unrelated businesses, search-engine-manipulation text, or outbound links placed to build search authority. (This restriction concerns Your Content. It does not apply to Advertisements that we display under Article 14.)
9.2 Tobacco and alcohol. Because Published Menus have no age gate, tobacco products and alcoholic beverages may be subject to display restrictions under applicable law. We may remove such items from any Published Menu, at our sole discretion and without prior notice to You, in order to avoid legal exposure. We are not liable for any loss arising from such removal.
9.3 You may not: attempt to access the Application outside the access granted to You; interfere with or degrade the Application or the infrastructure on which it runs; probe, scan or test its security; reverse engineer, decompile, disassemble, copy or create derivative works from the Application; remove, obscure or alter any MenuOnGo branding except where Your Plan expressly permits it; or remove, obscure, block or interfere with any Advertisement or the Ad Space (Article 14.8).
9.4 We may remove or disable any Content, and suspend or terminate any account, that we believe in good faith breaches this Article — immediately, at our sole discretion, without prior notice, and without refund.
Article 10 — Menu Accuracy: Prices, Allergens and Nutrition
Read this Article carefully. It concerns matters that can affect human health.
10.1 You are solely responsible for the accuracy, completeness and currency of all menu information, including item names, descriptions, prices, ingredients, allergen declarations, dietary labels (including vegan, vegetarian, gluten-free, halal and kosher labels), calorie figures and nutrition data.
10.2 MenuOnGo does not verify, audit, test or validate any allergen, ingredient, dietary or nutrition information. We reproduce what You supply. We are not a food safety authority, a laboratory, a certification body or a compliance adviser.
10.3 Allergen and nutrition labelling requirements differ by country, state and locality and change over time. Determining which rules apply to Your business, and complying with them, is entirely Your responsibility. Any reference on the Site or in the Application to a labelling standard describes a data format we support; it is not a statement that Your menu complies with any law.
10.4 YOU ACCEPT FULL RESPONSIBILITY FOR ANY HARM, INCLUDING PERSONAL INJURY OR DEATH, ARISING FROM INACCURATE, INCOMPLETE OR OUT-OF-DATE ALLERGEN, INGREDIENT, DIETARY OR NUTRITION INFORMATION DISPLAYED THROUGH THE APPLICATION. You will indemnify us in full against any such claim under Article 21.
10.5 Verify before publishing. Where we or our systems prepare a menu on Your behalf (Article 11), You must review and confirm it before it goes live, and You must re-verify after every change. Publication of a menu constitutes Your confirmation that its contents are correct.
10.6 Prices displayed on a Published Menu are Your responsibility. We are not liable for any loss, dispute or refund arising from an incorrect price.
Article 11 — AI-Assisted Processing, Menu Import and Concierge Setup
11.1 The Application uses automated and artificial-intelligence systems to read menu files, structure menu data, generate translations and assist with menu import. Where our team imports Your menu at Your request (available on every Plan), or where a Plan includes concierge setup (Full Service only, photos and campaigns included), a person reviews the output before it is delivered to Your dashboard.
11.2 Automated systems and human review are both fallible. We do not warrant that any scanned, structured or translated output is accurate, complete or fit for any purpose. Translations in particular may misrender dish names, ingredients, allergens or cooking methods.
11.3 Nothing is published until You publish it. Your review and confirmation under Article 10.5 is the control that matters, and it is Yours alone.
11.4 Menu import by our team and concierge setup are conveniences. They do not make us the author or editor of Your menu, do not transfer any responsibility under Articles 8 or 10 to us, and do not create any professional or advisory relationship.
11.5 Translations — Your responsibility. Automatic AI translation is a drafting tool. You must check every translation before it is published — line by line, and especially dish names, ingredients, allergens and cooking methods, which machine translation often gets wrong. If You cannot check a language Yourself, have it checked by someone fluent in it, or do not publish it. A translation You publish is Your Content, and You are solely responsible for its accuracy, including allergen information, under Articles 8 and 10. The dashboard may ask You to confirm that You have checked a translation before it goes live; that confirmation is Yours.
11.6 Language limits. A Published Menu on the Free plan appears in one language — the language You wrote it in, which may be any language the Application supports. Translations, whether by AI or entered by hand, are not available on the Free plan. On Pro and Full Service a Published Menu may appear in up to eleven languages: Your own and up to ten translations. Further translations may be enabled on request, free of charge, at our discretion.
Article 12 — Accessibility
12.1 ADA-ready on paid Plans. On Pro and Full Service we deliver Published Menus as structured text rather than images of text, with heading structure, keyboard reachability and default colour contrast intended to align with WCAG 2.1 Level AA ("ADA-ready"). ADA-ready is not offered on the Free plan, because Free plan Published Menus display Advertisements supplied by third parties, which we do not control and which may not meet that standard.
12.2 We do not warrant, certify or guarantee that Your menu, Your website, or Your business complies with the Americans with Disabilities Act, the European Accessibility Act, or any other accessibility law, standard or regulation. Accessibility compliance depends on Your own content, Your customisations, Your images, Your colour choices and the environment in which the menu is displayed.
12.3 Your content is Your responsibility. Everything You add to or change in Your Published Menu — images, videos, campaigns, descriptions (including AI suggestions You accept), translations, prices, allergen information, themes, colours, fonts and layout — is created and controlled by You. Keeping Your Published Menu accessible is Your responsibility, including providing text descriptions for visual content, captions for video, readable contrast and real text rather than text inside images. If You customise the design or upload Content that is not accessible, responsibility for the resulting accessibility of Your menu rests entirely with You.
12.4 We are not liable for any accessibility claim, complaint, demand letter, proceeding, settlement, penalty or cost brought against You.
12.5 Our Accessibility Statement at menuongo.com/accessibility describes our approach, known limitations and how to report a problem. It does not create any warranty.
Article 13 — Intellectual Property in the Application
13.1 All rights, title and interest in the Application, the Site, the MenuOnGo name, logo, designs, templates, themes, software and documentation belong to MenuOnGo. You receive a limited, personal, non-exclusive, non-transferable, revocable licence to use the Application for Your own business during the term of this Agreement, and nothing more.
13.2 You may not use the MenuOnGo name, trade marks, logo or domain name, or any confusingly similar sign, without our prior written permission.
13.3 If You send us feedback, suggestions or feature ideas, You grant us an unrestricted, perpetual, irrevocable, royalty-free right to use them without obligation or compensation to You.
Article 14 — MenuOnGo Branding and Advertising on Free Plan Menus
MenuOnGo badge
14.1 MenuOnGo badge. Published Menus display a small MenuOnGo badge — our logo with a "Powered by MenuOnGo" line, linking to the Site. On the Free plan and during the free month the badge is always displayed, and You may not remove, hide, obscure, resize to illegibility, overlay or otherwise interfere with it by any means, including CSS, scripting or image manipulation.
14.2 On paid Plans the badge may also be displayed. We decide its size and position, keeping it small and away from Your items, prices and allergen information.
14.3 Interference with the badge on the Free plan is a material breach and we may suspend or terminate the account immediately, without refund.
Advertising
14.4 Advertising is part of the Free plan. The Free plan is funded in part by advertising. Every Published Menu on the Free plan displays Advertisements. You accept this as a condition of using the Free plan, including where Your account moves to the Free plan under Article 5.3. No Advertisement is displayed on a Published Menu during the free month or during a paid term. The only way to remove Advertisements from Your Published Menu is to purchase a paid Plan.
14.5 Where and how Advertisements appear. Advertisements may be displayed anywhere on a Free plan Published Menu — including at the top or foot of the page, between categories or items, alongside content, or on any page, screen or view of the menu — in any format, size and number that we choose. We may introduce, change or remove any placement, format, size or number of Advertisements at any time; doing so is not an amendment of this Agreement and requires no notice to You. Whatever the placement, we will:
- label every Advertisement clearly as an advertisement (for example "Ad" or "Sponsored"), with a link explaining how advertising on menus works;
- not alter, replace or permanently hide Your items, prices, allergen, dietary or nutrition information, or Your business details — any Advertisement shown over menu content can be closed by the guest;
- not use flashing content capable of triggering seizures; and
- build Advertisements with the same accessibility aims as the rest of the Published Menu (Article 12.1), to the extent the Ad Provider's formats allow.
Where the law requires it, Free plan Published Menus also display to guests a consent notice (cookie banner) and privacy-choice links (Article 14.10). You may not remove, hide or interfere with them.
14.6 What may be advertised. Advertisements are supplied mainly by Ad Providers, and may also be sold by us directly or promote MenuOnGo itself. The Ad Provider's own advertising policies apply to every Advertisement it supplies. In addition, we use the category, advertiser and web-address blocking controls that the Ad Provider makes available to exclude Advertisements for: alcoholic beverages; tobacco, e-cigarette, vaping or nicotine products; cannabis or other controlled substances; gambling or betting; adult, sexual or dating services; weapons or ammunition; political parties, candidates, elections or political or social issues; religious or belief-based messaging; prescription medicines, health or medical claims, or weight-loss products; and speculative financial products, including crypto-assets — and for other restaurants, cafés, bars or similar food-service venues and for food ordering or delivery platforms, to the extent those controls allow. Where the law of the place in which a Published Menu is viewed prohibits advertising of a product, we apply these controls to that place as a minimum. Because Advertisements are selected by the Ad Provider in real time, we cannot guarantee that every excluded category or competitor will always be blocked. An Advertisement displayed despite these controls is not a breach of this Agreement by us, provided we add a block for it within a reasonable time after we become aware of it. No Advertisement is intentionally directed at children.
14.7 Your position.
(a) Advertisements are selected by MenuOnGo and by the Ad Provider. You have no right to select, approve or veto individual Advertisements.
(b) All revenue from advertising belongs to MenuOnGo. You are not entitled to any payment, share of revenue, credit or other compensation for Advertisements displayed on Your Published Menu.
(c) You may report an Advertisement You consider inappropriate for Your business at info@menuongo.com. If it falls within Article 14.6, we will add a block for it using the Ad Provider's controls. You may also ask us to block a particular Advertiser or category of Advertisement on Your Published Menu (for example, for religious or cultural reasons). We will consider such requests in good faith but are not obliged to grant them, and blocks may apply across the service rather than to Your menu alone.
(d) Advertisements are the responsibility of MenuOnGo and the Advertiser, not Yours. You give no warranty regarding any Advertisement, and Your indemnity under Article 21 does not extend to the content of Advertisements.
14.8 Your obligations. You must not, directly or through any other person or tool:
- remove, hide, obscure, cover, shrink, block or otherwise interfere with the Ad Space or any Advertisement, including by CSS, scripting, image manipulation or ad-blocking technology;
- place Your own advertising, or any third-party advertising code, pixel or tag, on a Published Menu;
- click on Advertisements or generate views or clicks by automated means, incentives, repeated reloading or any method other than genuine guest interest, or encourage anyone else to do so; or
- present an Advertisement as Your own offer or endorsement.
Consequences — accepted in advance. Breach of this Article 14.8 is a material breach. You accept in advance that, if we determine that You have breached it, Your account will be closed immediately, without prior notice and without refund, and that Articles 16.3 and 16.6 then apply. You also acknowledge that knowingly generating artificial views or clicks may constitute a criminal offence under applicable law, including fraud or offences relating to information systems, and that we may report it to the competent authorities and to the Ad Provider.
14.9 Guests and Advertisements. (This Article applies to visitors under Article 1.5.) Advertisements are placed by MenuOnGo and its Ad Providers, not by the business whose menu is displayed, and do not indicate that business's endorsement. An Advertisement may link to a website, app or offer operated by an Advertiser. Any purchase, booking or other dealing with an Advertiser is solely between You and that Advertiser, and the Advertiser's own terms and privacy policy apply to it. MenuOnGo does not warrant any product, service, price or claim in an Advertisement and is not responsible for any website it links to.
14.10 How Advertisements are chosen, and guests' choices. (This Article applies to visitors under Article 1.5.) Advertisements on Free plan Published Menus are delivered by Ad Providers. They may be chosen from the content of the page and, where the guest's choices allow, from information the Ad Provider holds about the guest's device and online activity (personalised advertising). The Ad Provider may use cookies and similar identifiers for this.
- Outside the United States, advertising cookies are set, and personalised advertising is shown, only after the guest gives consent in the consent notice displayed on the menu. A guest who refuses can still read the full menu; they may be shown non-personalised or limited Advertisements that do not rely on advertising cookies, or no Advertisement. Consent can be changed at any time through the "Cookie settings" link on the menu.
- In the United States, advertising cookies may be used without prior consent. A guest can opt out of the sale or sharing of their personal information for advertising at any time through the "Your Privacy Choices" link on the menu, and a Global Privacy Control signal sent by their browser is treated as an opt-out.
Details are in the Privacy Policy and the Cookie Privacy Notice. The business whose menu is displayed does not choose, receive or control any of this data.
14.11 Use of Your menu and business information for advertising. You permit us and our Ad Providers to access, crawl and analyse Your Published Menu (including its web address and content), and permit us to use Your business type, location and menu languages, in order to select, deliver, measure and protect Advertisements. Ad Providers may, under their own policies, report to Advertisers the web pages on which their Advertisements appeared. Apart from this, we will not name Your business to an Advertiser without Your consent.
14.12 Accounts already on the Free plan. Where an account is already on the Free plan on the date this Article first takes effect, we will give at least thirty (30) days' notice by email before Advertisements first appear on its Published Menu, and we may ask the account holder to confirm acceptance of this version of the Agreement in the dashboard.
Article 15 — Copyright Complaints (Notice and Takedown)
15.1 We respond to notices of claimed copyright infringement under the United States Digital Millennium Copyright Act (17 U.S.C. § 512) and equivalent procedures under other applicable law.
15.2 Notices must be sent to our designated agent at the address published at menuongo.com/dmca and must contain the elements required by law.
15.3 On receipt of a valid notice we may remove or disable the Content in question without prior notice to You and without liability to You.
15.4 Repeat infringers. We will terminate, in appropriate circumstances, the accounts of users who are repeat infringers. Determining what constitutes a repeat infringement is at our sole discretion. Termination under this Article carries no refund.
15.5 We have no obligation to monitor Content or to seek facts indicating infringing activity.
15.6 Notices under the EU Digital Services Act. Any person may notify us of content on a Published Menu that they consider illegal — not only copyright infringement — by email to info@menuongo.com (Article 16 of Regulation (EU) 2022/2065). The notice should include an explanation, the exact web address, the name and email address of the person giving notice, and a statement that the information is accurate and complete to the best of their knowledge. We acknowledge receipt, decide in a timely, diligent and objective manner, and inform the person giving notice of our decision. If we remove or disable Your Content or restrict Your account, we will give You our reasons (Article 17) and You may contest the decision at info@menuongo.com. Single point of contact for authorities and users: info@menuongo.com, in English and Turkish (Articles 11 and 12).
Article 16 — Suspension, Downgrade and Termination
16.1 By You. You may stop using the Application and close Your account at any time. Closing an account does not trigger any refund (Article 5.6) and does not relieve You of amounts already due.
16.2 Downgrade. Non-renewal results in downgrade to the Free plan as set out in Article 5.3. This is not a termination.
16.3 Suspension and termination by us. We may suspend or terminate Your account or this Agreement, immediately and without prior notice, if: You breach any provision of this Agreement; we believe in good faith that Your Content or conduct is unlawful, infringing or harmful; a chargeback is initiated; Your use threatens the security, stability or reputation of the Application; or we are required to do so by law or by a competent authority.
16.4 Termination for convenience. Either party may terminate this Agreement on seven (7) days' written notice by email. If You terminate, Article 5.6 applies and no refund is due.
16.5 Inactivity. If an account has had no dashboard login for twelve (12) consecutive months, we may terminate this Agreement and delete the account and its Content after giving notice to Your registered email address.
16.6 Effect of termination. On termination Your licence ends, Your Published Menu and QR codes cease to function, and we may delete Your Content. Provisions that by their nature should survive — Articles 5.6, 8, 9, 10, 12, 13, 19, 20, 21, 23 and 24 — survive termination.
16.7 Data export. For thirty (30) days following termination we will, on written request, provide a machine-readable export of Your menu data on a reasonable-efforts basis. After that period we are under no obligation to retain or provide anything.
Article 17 — Availability and Support
17.1 We aim to keep the Application available and to respond to support requests during our published support hours. We do not guarantee uptime, availability, response time or resolution time. There is no service level agreement, no uptime warranty and no service credit.
17.2 Written support only. Support is provided in writing only: through the chat in the app and on the Site, and by email; outside the United States also by WhatsApp; and in the United States by text message once that line has been approved by the carriers. We do not provide telephone or voice support, live calls or screen-sharing setup on any Plan.
17.3 We may modify, suspend, add to or discontinue any feature of the Application at any time. We will try to give notice of material removals, but are not obliged to.
17.4 Access to the Application depends on Your internet connection, device and browser. We are not responsible for problems caused by any of them, or by any third-party network, hosting or platform on which the Application depends.
17.5 AI assistant. First-line support is provided by an AI assistant that works 24/7 in the chat on the Site and in the dashboard and identifies itself as AI. If it cannot resolve Your issue, it hands it to our team as a ticket, and our team replies in writing during support hours. AI replies may contain errors; for binding information, our team's written reply and our published documents prevail.
17.6 Support by Plan.
- Free: the AI assistant and the help centre. Our team steps in only for menu import, payment and account matters, and reports of abuse.
- Pro: the AI assistant and written support from our team, with a target reply time of one (1) business day.
- Full Service: priority (VIP) requests, with the turnaround targets in Article 6.1.4.
17.7 Support hours. Our support hours are every day, 9:00 a.m. to 6:00 p.m., local time where Your business is located. All reply and turnaround times in this Agreement run only during support hours.
17.8 Targets, not guarantees. The reply and turnaround times in this Article and in Article 6.1 are targets, not guarantees. Missing them does not give rise to any refund, credit, discount or compensation.
17.9 Free menu import; no paid support. Menu import — by AI in a minute or two, or by our team usually the same day — is free on every Plan. We do not sell paid support or paid setup services.
Article 18 — Privacy and Data
18.1 Our handling of personal data is described in the Privacy Policy and Cookie Privacy Notice published on the Site, which form part of this Agreement.
18.2 Content and account data may be stored and processed in Türkiye, the European Union, the United States or elsewhere. You consent to such transfer and processing.
18.3 We may disclose Your information where required by applicable law or by a competent authority, and may use aggregated, anonymised usage data for product improvement, statistics and marketing without restriction.
18.4 Where You collect personal data from Your own guests through features of the Application, You are the controller of that data and You are responsible for having a lawful basis, giving notice and honouring data-subject rights.
18.5 Advertising data. Data processed to select, display and measure Advertisements on Free plan Published Menus is processed by MenuOnGo for its own purposes, as controller, and by the Ad Provider as an independent controller under its own terms — not on Your behalf. You are not responsible for that processing, and the consent notice and privacy-choice links required for it are provided by us on the menu.
Article 19 — Disclaimers
19.1 THE APPLICATION, THE SITE AND ALL CONTENT AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.
19.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
19.3 WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT IT WILL MEET YOUR REQUIREMENTS, OR THAT IT WILL INCREASE YOUR SALES, TRAFFIC, RATINGS OR SEARCH VISIBILITY.
19.4 NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.
Article 20 — Limitation of Liability
20.1 To the maximum extent permitted by applicable law, in no event shall MenuOnGo (POSSIAN YAZILIM ANONİM ŞİRKETİ), its officers, employees, contractors, affiliates or suppliers be liable for any indirect, incidental, special, exemplary, or consequential damages arising out of or in connection with the services.
20.2 The total aggregate liability of MenuOnGo for all claims arising under this Agreement shall be limited to the total amount actually paid by You to MenuOnGo (or to the Reseller for our account) during the twelve (12) months immediately preceding the event giving rise to such liability.
20.3 These limitations apply even if a limited remedy fails of its essential purpose, and they reflect an agreed allocation of risk that is reflected in the price of the Plans.
20.4 Nothing in this Agreement excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by our own negligence.
Article 21 — Indemnification
21.1 You will defend, indemnify and hold harmless MenuOnGo, its affiliates, officers, employees, contractors and suppliers from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, judgments, settlements, fines, penalties, costs and expenses (including reasonable attorneys' fees and the costs of investigation) arising out of or relating to:
(a) Your Content, including any claim of copyright, trademark, right-of-publicity, privacy or defamation;
(b) any allergen, ingredient, dietary, nutrition or price information displayed through the Application, including any claim of personal injury, illness or death;
(c) any accessibility claim, complaint or proceeding concerning Your menu or Your business;
(d) Your breach of this Agreement or of any applicable law;
(e) Your use of the Application, and use by any Authorized User;
(f) any dispute between You and Your guests, employees, suppliers or any third party.
21.2 We may assume exclusive control of the defence of any matter subject to indemnification by You, at Your expense, and You will cooperate fully. You may not settle any matter in a way that imposes any obligation or admission on us without our prior written consent.
Article 22 — Changes to this Agreement
22.1 We may amend this Agreement and its annexes at any time. The amended version takes effect when published at menuongo.com, and applies to Your continued use of the Application from that point.
22.2 For material changes we will make reasonable efforts to notify You by email or in the dashboard. Your continued use of the Application after a change constitutes acceptance. If You do not accept an amendment, Your sole remedy is to stop using the Application and close Your account; Article 5.6 applies.
Article 23 — Force Majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disaster, epidemic, war, terrorism, civil disturbance, strike, government action, sanctions, export control, change of law, failure of internet infrastructure, hosting provider, payment provider, AI or translation provider, power failure, or cyber attack.
Article 24 — Governing Law and Dispute Resolution
24.1 Governing law. This Agreement is governed by the laws of the Republic of Türkiye, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
24.2 Informal resolution first. Before commencing any proceeding, You must contact us in writing at info@menuongo.com with a description of the dispute and allow sixty (60) days for resolution.
24.3 Binding arbitration. Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation or validity, shall be referred to and finally resolved by arbitration administered by the International Chamber of Commerce (ICC) in accordance with its Rules of Arbitration. The place of arbitration shall be İstanbul, Türkiye (or online if permitted by the arbitrator), and the proceedings shall be conducted in English.
24.4 CLASS-ACTION WAIVER. YOU AND MENUONGO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING.
24.5 Court fallback. If arbitration is held inapplicable or unenforceable in a given case, the courts and enforcement offices of İstanbul, Türkiye shall have exclusive jurisdiction.
24.6 Time limit. Any claim must be brought within one (1) year after the cause of action arises, or it is permanently barred, to the extent permitted by applicable law.
24.7 Mandatory consumer law. The Application is not offered to consumers (Article 1.3). If the mandatory law of Your country of residence nevertheless treats You as a consumer, nothing in this Article deprives You of the protection of that law, and Articles 24.3 to 24.6 apply to You only to the extent that law permits.
Article 25 — Miscellaneous
25.1 Entire agreement. This Agreement, together with the Privacy Policy, Cookie Privacy Notice, Cancellation and Refund Conditions, Promotions and Referral Terms, and any Plan description published on the Site, is the entire agreement between the parties and supersedes all prior understandings.
25.2 Order of precedence. In case of conflict, this Agreement prevails over any annex, unless the annex expressly states otherwise.
25.3 Severability. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions continue in full force.
25.4 No waiver. Our failure to enforce any provision is not a waiver of it.
25.5 No third-party beneficiaries. Except for our affiliates and suppliers under Articles 20 and 21, this Agreement creates no rights in any third party.
25.6 Notices. We will communicate with You at the email address on Your account. Email constitutes written notice. Keeping Your email address current is Your responsibility.
25.7 Language. This Agreement is published in English and in other languages. Where we publish a version for the country or region in which You are resident, that version governs (for example, the Turkish version for Users resident in Türkiye and the German version for Users resident in Germany); in all other cases the English version governs. This rule applies in case of any conflict between the versions.
25.8 Relationship. Nothing in this Agreement creates a partnership, joint venture, agency or employment relationship.
